Terms of Service

By accessing or using the Plaza Network ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Plaza Network provides a customer relationship management platform for managing contacts, services, projects, quotes, invoices, support tickets, and related business operations. The Service may include integrations with third-party tools such as WHMCS for billing and MainWP for website management.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

You must provide accurate and complete information when creating an account, and keep that information current. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized access or breach of security.

We are not liable for losses caused by unauthorized use of your account resulting from your failure to safeguard your credentials.

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to other users' accounts, data, or our systems.
• Transmit viruses, malware, or any code designed to interrupt, destroy, or limit the functionality of the Service.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent permitted by law.
• Use the Service to send unsolicited communications (spam) or to harass, threaten, or harm others.
• Resell, sublicense, or otherwise commercially exploit the Service without our express written consent.
• Violate the intellectual property, privacy, or other rights of any third party.
• Use the Service in a way that could damage, disable, overburden, or impair our systems.

You retain all ownership rights to the data you input into the Service ("Customer Data"). You grant Plaza Network a limited, non-exclusive, royalty-free, worldwide license to host, store, process, transmit, and display your Customer Data solely as necessary to provide and improve the Service.

You are solely responsible for the legality, accuracy, and appropriateness of your Customer Data and for obtaining all necessary consents from your contacts and customers.

The Service, including all software, designs, logos, text, graphics, and other content provided by us (excluding Customer Data), is owned by Plaza Network or its licensors and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during your subscription term.

The Service may integrate with or link to third-party services (such as Google authentication, WHMCS, and MainWP). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, content, or practices of any third-party services.

If the Service is offered on a paid basis, fees and payment terms will be specified at the time of subscription. Fees are non-refundable except as required by law or as expressly stated. We may change fees with reasonable notice.

We may suspend or terminate your access to the Service at any time, with or without notice, for any breach of these Terms. You may terminate your account at any time by contacting us at info@plazanetwork.com.

Upon termination:

• Your right to access the Service ends immediately.
• Customer Data may be deleted in accordance with our data retention practices and Privacy Policy.
• Provisions that by their nature should survive termination (such as Sections 5, 6, 10, 11, 12, and 13) will survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PLAZA NETWORK DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLAZA NETWORK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE LEGAL THEORY.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS (USD $100).

You agree to indemnify, defend, and hold harmless Plaza Network and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service, (b) your Customer Data, (c) your breach of these Terms, or (d) your violation of any law or third-party rights.

These Terms are governed by the laws of the State of California, USA, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date, and where appropriate, by email. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

• Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Plaza Network regarding the Service.
• Severability: If any provision is held unenforceable, the remaining provisions remain in full effect.
• No waiver: Our failure to enforce a right or provision is not a waiver.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms freely.
